Antitrust and Competition Policy
Guiding Policy for Ayra Association
Purpose
Ayra is committed to complying with all applicable antitrust and competition laws. This policy establishes principles for lawful, fair, and open participation in Ayra Working Groups and related activities.
The intent of this policy is to prevent discussions or actions that could restrict competition or create the appearance of improper coordination among participants.
Scope
This policy applies to:
All Ayra Working Groups
All meetings, discussions, and communications conducted under Ayra auspices
All participants, including members, observers, and invited guests
This policy applies regardless of whether interactions occur in meetings, written communications, online platforms, or informal settings related to Ayra activities.
Guiding Principles
Participants in Ayra activities shall:
Act independently in all competitive business decisions
Avoid discussions that could restrict competition or distort markets
Focus Working Group activities on technical, governance, or mission-related objectives
Conduct themselves in a manner that promotes openness, fairness, and trust
Prohibited Topics
The following topics must not be discussed or coordinated in Ayra meetings or communications:
Prices, pricing strategies, discounts, fees, or royalties
Costs, profit margins, or financial forecasts
Production volumes, capacity, or supply limitations
Allocation of markets, customers, or territories
Competitive strategies, product roadmaps, or go-to-market plans
Agreements to exclude competitors, suppliers, or customers
This list is illustrative and not exhaustive.
Appropriate Topics
The following topics are generally appropriate for discussion, provided they are conducted in a non-exclusive and non-coercive manner:
Technical specifications and standards
Governance processes and policies
Interoperability, compatibility, and implementation considerations
Security, safety, and compliance matters
Open, non-binding information sharing related to the Working Group’s mission
Meeting Conduct
Working Group Chairs are responsible for ensuring meetings are conducted in accordance with this policy.
If a discussion appears to raise antitrust or competition concerns:
The Chair shall stop or redirect the discussion
The issue may be deferred or handled outside the Working Group as appropriate
The interruption itself shall not be considered improper or adverse
Participants are encouraged to raise concerns if they believe a discussion may be inappropriate.
Antitrust Reminder
An antitrust reminder may be provided at the start of meetings or included in meeting materials to reinforce awareness of this policy.
Enforcement and Compliance
Failure to comply with this policy may result in corrective action in accordance with Ayra governance procedures, including limitation or removal of participation rights.
This policy is intended to promote lawful collaboration and does not replace the obligation of participants to seek their own legal advice regarding competition law compliance.
Review
This policy is reviewed periodically and may be updated to reflect changes in law, best practices, or Ayra governance requirements.
